License Agreement for Recorded Music
Legal Terms and Conditions for Individual/Congregational Use
Introduction
This License Agreement ("Agreement") is entered into by and between Covered Worship Services LLC ("Licensor") and the purchaser ("Licensee"). This Agreement governs the terms under which Licensee may purchase a monthly or annual license to use certain Recorded Music and accompanying Sheet Music, as defined below, created and owned by Licensor. The purpose of this Agreement is to allow Licensee to replay the recordings and use the sheet music for personal or congregational use as outlined below.

The Recorded Music covered by this Agreement includes both original works by Licensor and original recordings of lyrics and music that are in the public domain (out of copyright).
Definitions

Licensor: The owner of the website and all rights to the recorded music and sheet music offered for license.

Licensee: The individual purchasing the license to use the recorded music and sheet music.

Recorded Music: Audio recordings of musical works provided by Licensor. Some recordings are original works created and owned by Licensor; others are original recordings of lyrics and music that are in the public domain (out of copyright).

Sheet Music: Notated music (in print or digital form) provided by Licensor, corresponding to the Recorded Music.

License Fee: The amount payable by Licensee for the monthly or annual license.

Permitted Use: The replaying of recorded music and use of sheet music for sing-along purposes by Licensee and Licensee’s church congregation or other similar groups, more fully defined below.
Grant of License
Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Recorded Music and accompanying Sheet Music for the sole purpose of the Permitted Use. Licensee may select either a monthly or annual license term as specified at the time of purchase.
Permitted Use
Licensee may replay the recordings and use the Sheet Music for personal or church congregational or similar group sing-along use only. No for-profit broadcast or commercial exploitation is permitted. Use is limited to Licensee’s church congregation or similar group and may not be shared with others.

Licensee may include Licensed Recorded Music and Sheet Music in audio or video recordings of worship services for the purpose of sharing with their congregation or similar group via online platforms (such as YouTube, Vimeo, or church websites), provided that:

The recordings are not monetized in any way (including, but not limited to, advertising revenue, sponsorships, or paid access).

The Licensed Music is not used as a standalone performance, music video, or for any commercial purpose.

The video description or credits must include the following statement: “Music licensed for non-commercial congregational use only. No commercial use or redistribution permitted.”

Licensee must disable all monetization features on any platform where the recording is posted.

Any violation of these terms will result in immediate termination of the license and may subject the Licensee to legal action.
Ownership
All rights, title, and interest in and to the Recorded Music and Sheet Music remain exclusively with Licensor. Licensee acquires no ownership rights in the Recorded Music or Sheet Music by virtue of this Agreement. Licensee acknowledges that the license granted herein is limited to the specified use and duration. For public domain lyrics and music, Licensor claims ownership only over the original recordings and sheet music arrangements provided.
Restrictions

Licensee shall not distribute, resell, sublicense, or otherwise transfer the Recorded Music or Sheet Music to any third party.

Licensee shall not modify, adapt, or create derivative works from the Recorded Music or Sheet Music.

Licensee shall not use the Recorded Music or Sheet Music for commercial purposes or in any manner that infringes upon Licensor’s rights.

No for-profit use of recordings or sheet music in online streaming or any use on social media platforms is permitted.

The inclusion of Licensed Recorded Music and Sheet Music in service recordings for online sharing is permitted only as expressly provided in the “Permitted Use” section above. Any other online use, including monetization, standalone performances, or distribution beyond the Licensee’s congregation or group, is strictly prohibited.
Payment Terms

Licensee agrees to pay the License Fee as specified by Licensor for the selected term prior to use.

Licenses will automatically renew unless canceled by Licensee in accordance with Licensor’s cancellation policy.

Failure to pay the License Fee will result in immediate termination of the license.

All fees are non-refundable except as required by applicable law.
Termination

Licensor may terminate this Agreement immediately if Licensee breaches any term or condition herein.

Licensee may terminate the license at any time by providing written notice to Licensor; no refund will be issued for unused portions of the License Fee.

Upon termination, Licensee must cease all use of the recordings and sheet music and delete any copies in their possession.
Disclaimer and Limitation of Liability
Licensor provides the recorded music and sheet music "as is" without warranties of any kind, express or implied. Licensor shall not be liable for any indirect, incidental, or consequential damages arising from Licensee’s use of the recordings or sheet music. Licensee accepts full responsibility for compliance with this Agreement and all applicable laws.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state of Montana. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Montana.
Miscellaneous

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements.

No amendment or modification to this Agreement shall be valid unless in writing and signed by both parties.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
